Agreement to Terms

By accessing or using RiverRun Digital's website (riverrun.digital) or engaging our social media management services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Services Overview

RiverRun Digital provides social media management services for small businesses, including but not limited to:

  • Social media content creation and posting

  • Platform management (Facebook, Instagram, LinkedIn, Twitter/X, TikTok)

  • Community engagement and monitoring

  • Performance reporting and analytics

  • Photography and visual content creation

  • Social media strategy consultation

  • Website integration services

  • Local SEO optimization

  • Paid advertising management

Specific services are defined in individual service packages (Paddle Package, Navigate Package, Guide Package) and client agreements.

Service Packages and Pricing

Package Descriptions

Paddle Package: Entry-level social media management including 8-12 posts per month, 2 social platforms, basic content creation, monthly performance report, and email support.

Navigate Package: Mid-tier service including 16-20 posts per month, 3 social platforms, professional photography quarterly, stories and reels content, community engagement, and bi-weekly strategy calls.

Guide Package: Comprehensive service including full social management, all platforms covered, weekly content creation, website integration, local SEO optimization, paid ad management, and weekly reporting.

Payment Terms

  • Pricing is outlined in individual service agreements

  • Payment is due monthly in advance unless otherwise agreed

  • Accepted payment methods: credit card, ACH transfer, check

  • Late payments may result in service suspension after 10 days

  • A late fee of 1.5% per month may be applied to overdue balances

Client Responsibilities

As a client, you agree to:

  • Provide accurate business information and brand guidelines

  • Grant necessary access to social media accounts and platforms

  • Respond to approval requests and communications in a timely manner

  • Provide content, images, and information as needed

  • Comply with all applicable laws and platform policies

  • Maintain ownership and responsibility for your social media accounts

  • Notify us immediately of any security concerns or unauthorized access

Account Access and Security

Client Authorization

By engaging our services, you authorize RiverRun Digital to:

  • Access and manage your designated social media accounts

  • Create, schedule, and publish content on your behalf

  • Respond to comments and messages as agreed upon

  • Access analytics and performance data

  • Make account setting adjustments as necessary for service delivery

Security Measures

We commit to:

  • Securely store all login credentials

  • Use account access solely for agreed-upon services

  • Implement industry-standard security practices

  • Immediately revoke access upon service termination

  • Notify you of any suspected security breaches

Client Account Security

You are responsible for:

  • Maintaining the security of your social media accounts

  • Notifying us of any password changes

  • Ensuring compliance with platform terms of service

  • Any activity that occurs under your accounts

Content Ownership and Rights

Client Content

You retain all ownership rights to:

  • Your business name, logos, and trademarks

  • Photos and videos you provide

  • Business information and proprietary content

  • Your social media accounts and followers

RiverRun Digital Content

We retain ownership of:

  • Content creation processes and methodologies

  • Templates and design frameworks

  • Strategic planning documents

  • Analytics reports and insights (format and structure)

Content License

By engaging our services, you grant RiverRun Digital a non-exclusive, worldwide license to use your content solely for providing agreed-upon services. We may use anonymized examples of our work for portfolio and marketing purposes unless you explicitly opt out.

Content Approval and Posting

Approval Process

Content approval processes are defined in individual service agreements and may include:

  • Pre-approval of all content before posting

  • Approval of content calendars with posting flexibility

  • Post-publication review and reporting

Content Standards

All content created will:

  • Align with your brand guidelines and voice

  • Comply with social media platform policies

  • Adhere to applicable advertising and disclosure laws

  • Avoid prohibited content (illegal, defamatory, discriminatory material)

Client Review Responsibility

You are responsible for reviewing and approving content. Once approved, you acknowledge that the content meets your standards and complies with all applicable laws.

Service Limitations

Platform Dependencies

Our services depend on third-party social media platforms. We are not responsible for:

  • Platform outages, changes, or discontinuation

  • Algorithm changes affecting reach and engagement

  • Platform policy changes or account restrictions

  • Third-party platform technical issues

No Guaranteed Results

While we strive for excellent results, we do not guarantee:

  • Specific follower growth or engagement rates

  • Sales, leads, or conversion numbers

  • Viral content or specific reach metrics

  • Protection against negative comments or reviews

Social media success depends on many factors outside our control, including platform algorithms, market conditions, and audience behavior.

Term and Termination

Service Term

Services begin upon execution of a service agreement and continue on a month-to-month basis unless otherwise specified.

Termination by Client

You may terminate services with 30 days' written notice. You are responsible for payment through the end of the notice period.

Termination by RiverRun Digital

We reserve the right to terminate services with 30 days' notice or immediately if:

  • Payment is more than 30 days overdue

  • You breach these Terms or the service agreement

  • You engage in illegal or unethical conduct

  • The working relationship becomes untenable

Upon Termination

When services end:

  • We will cease all posting and account access immediately

  • You will receive final reports and content calendars

  • Outstanding invoices remain due

  • We will securely delete your login credentials within 30 days

  • You retain all content and account ownership

Refund Policy

Monthly Services

Services are billed monthly in advance. Refunds are not provided for partial months except in cases of:

  • Service failure to deliver agreed-upon content

  • Breach of contract by RiverRun Digital

  • Mutual agreement to terminate early

Setup Fees

One-time setup fees are non-refundable once work has commenced.

Dispute Resolution

If you are unsatisfied with services, please contact us immediately so we can address concerns before requesting a refund.

Limitation of Liability

To the maximum extent permitted by law:

  • RiverRun Digital's total liability shall not exceed the amount paid for services in the preceding 3 months

  • We are not liable for indirect, incidental, consequential, or punitive damages

  • We are not responsible for platform actions, account suspensions, or algorithm changes

  • We are not liable for client-provided content or information

  • We are not responsible for third-party actions or platform security breaches

Indemnification

You agree to indemnify and hold harmless RiverRun Digital from any claims, damages, or expenses arising from:

  • Your breach of these Terms

  • Content you provide or approve

  • Your violation of laws or platform policies

  • Your use of our services

  • Third-party claims related to your business or accounts

Intellectual Property

Trademarks

"RiverRun Digital" and associated branding are trademarks of RiverRun Digital. You may not use our trademarks without written permission.

Copyright

All original content, designs, and materials created by RiverRun Digital are protected by copyright. Upon full payment, you receive a license to use content created specifically for your business.

Third-Party Content

We ensure all content uses properly licensed images, music, and materials. You are responsible for any third-party content you provide.

Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information

  • Strategic plans and methodologies

  • Login credentials and account access

  • Financial information

  • Client lists and business relationships

This obligation continues for 2 years after service termination.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance. Material changes will be communicated via email.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of North Carolina, USA. Any disputes shall be resolved in the courts of Cherokee County, North Carolina.

Dispute Resolution

Informal Resolution

Before pursuing formal action, parties agree to attempt good-faith negotiation for 30 days.

Arbitration

If negotiation fails, disputes shall be resolved through binding arbitration in North Carolina under the American Arbitration Association rules.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms, together with individual service agreements and our Privacy Policy, constitute the entire agreement between you and RiverRun Digital.
